Please read the TERMS AND CONDITIONS of the USANA HEALTH SCIENCES, INC. ("USANA") PRE-ENROLLMENT PROGRAM.

IT IS BEING PROVIDED TO USANA ASSOCIATES, DISTRIBUTORS AND PROSPECTIVE DISTRIBUTORS IN THE PHILIPPINES, WHO WISH TO BECOME USANA DISTRIBUTORS, AS A TOOL FOR RESERVING PLACEMENTS IN THEIR RESPECTIVE DOWNLINE SALES ORGANIZATIONS PRIOR TO USANA OPENING ITS BUSINESS IN THE PHILIPPINES UNDER THE NAME "UHS ESSENTIAL HEALTH PHILIPPINES, INC."

YOU MUST AGREE TO THESE TERMS AND CONDITIONS BEFORE YOU MAY COMPLETE YOUR ONLINE PRE-ENROLLMENT APPLICATION.

Terms and Conditions

  1. I understand that pre-enrollment through this online process is available only to legal residents of the Philippines who are 18 years of age or older. I acknowledge that I am 18 years of age and otherwise legally and mentally competent to provide the information required to complete this pre-enrollment application.
  2. I understand there is NO fee or other charge for completing the online pre-enrollment process.
  3. By completing the online pre-enrollment application, I am not applying to become an independent USANA Distributor, nor am I agreeing to be bound by any terms and conditions of Distributorship. I understand that the purpose of the pre-enrollment process is to allow me the opportunity to reserve a place in the downline sales organization of the individual who may ultimately sponsor me as an independent USANA Distributor in the USANA marketing plan and to provide USANA with information that will facilitate the application process should I decide to become an independent USANA Distributor.
  4. As a pre-enrolled, prospective independent USANA Distributor, I am allowed to recruit and sponsor other individuals, who are legal residents of the Philippines, to complete the pre-enrollment process for the purpose of reserving a placement for them in my downline sales organization as prospective independent USANA Distributors.
  5. Upon completing the pre-enrollment process, I understand that I will not have personal access to the USANA Downline Management system (the "DLM System") for the purpose of viewing my placement and the placements of other prospective independent USANA Distributors that may form part of my prospective sales organization ("Downline Genealogy") should I become an independent USANA Distributor. However, the Associate who pre-enrolls me will have access to the DLM System, and he/she may disclose to me the information contained in the DLM System relating to my pre-enrollment and the pre-enrollment of other prospective Distributors whom I pre-enroll as part of my prospective sales organization. I acknowledge that the Downline Genealogy contained in the DLM System is confidential and contains proprietary business trade secrets. USANA will not permit me to view the Downline Genealogy if I am currently participating in another multilevel marketing opportunity. I may not use the Downline Genealogy for any purpose other than for developing my prospective downline sales organization. During the period of pre-enrollment (and during any period of time I am a USANA Distributor and for 5 years after I cease being a USANA Distributor), I will not, on my own behalf or on behalf of any other person or entity: (i) disclose any information contained in the Downline Genealogy to any third party; (ii) use the information contained in the Downline Genealogy to compete with USANA; or (iii) recruit or solicit any prospective Distributor (or active Distributor, as the case may be), who is listed in the Downline Genealogy, to participate in any other multilevel marketing opportunity. I acknowledge and agree that but for this agreement of confidentiality and nondisclosure, USANA would not allow me to view the information contained in the Downline Genealogy.
  6. I understand that I am NOT obligated to become an independent USANA Distributor simply because I complete the online pre-enrollment application. If I choose to become an independent USANA Distributor, I must complete and sign a USANA Distributor Application and Agreement. I understand and agree that USANA will provide me written notification at the address I provide on the pre-enrollment application (including electronic mail address), explaining when and how I can complete the application process to become an independent USANA Distributor. I will not become an independent USANA Distributor unless and until I complete the Distributor Application and Agreement and USANA accepts my Application. USANA reserves the right at its sole discretion to accept or reject my Application.
  7. Upon completing my pre-enrollment application, I agree to conduct my business activities in a lawful and ethical manner, consistent with the spirit and intent of USANA's Distributor policies and procedures. Any unlawful or unethical conduct on my part as a pre-enrolled, prospective independent USANA Distributor, including any conduct that would violate USANA's Policies and Procedures (even though I am not legally bound to comply with the same), will be grounds for USANA to reject my Application to become an independent USANA Distributor.
  8. I understand that I may change my line of sponsorship at any time after I complete the pre-enrollment process for any reason or no reason at all, but only until such time as I complete my Distributor Application to become an independent USANA Distributor. If I choose to change my line of sponsorship under these circumstances, USANA will cancel my existing pre-enrollment application, I will lose my placement in my original line of sponsorship, and I will forfeit any rights or claim I may have to any individuals whom I may pre-enroll in my prospective downline sales organization. I will not be allowed to enroll again as a pre-enrolled prospective Distributor or an independent USANA Distributor for a period of two (2) months (or sixty (60) days) after the date that my pre-enrollment application is canceled. If I choose to re-enroll in my original sponsor's downline sales organization, I may not re-enroll in my original placement. Any request to change my line of sponsorship after I become an independent USANA Distributor will be governed by the USANA Distributor Policies and Procedures.
  9. USANA reserves the right to sanction an independent USANA Associate or Distributor or prospective independent USANA Distributor for any abuse or manipulation of the pre-enrollment process to gain an unfair advantage in the USANA compensation plan. Sanctions may include without limitation termination of an Associate / Distributor's Distributorship and rejection of a prospective independent Distributor's Distributorship Application and Agreement.
  10. I certify that the information I provide on the pre-enrollment application is true, accurate and complete to the best of my knowledge. USANA is not responsible for and I agree to release USANA from any liability resulting from any inaccuracies in the information I provide to USANA or fail to provide USANA during the pre-enrollment process. Moreover, USANA is not responsible for any lost, undeliverable or delayed mail (including electronic mail) that may occur as a result of inaccurate, incomplete or missing information that I provide or fail to provide to USANA during the pre-enrollment process.
  11. Personal Data Protection & Right of Privacy. Any personal information you provide to USANA during the pre-enrollment process may be used by USANA for purposes including but not limited to the following:
    • Processing your Distributor Application should you decide to complete a Distributor Application
    • Developing Downline Genealogy Reports relating to pre-enrollment and enrollment should you decide to become an independent USANA Distributor
    • Providing services such as planning and facilitating meetings and training for USANA Associates and Distributors and their prospective Distributors
    • Development and implementation of policies, marketing plans, and strategies
    • Publishing personal information in USANA newsletters, promotional materials, and intra-group communications
    • Providing references
    • Complying with applicable laws and assisting with any governmental or police investigation, and
    • Other purposes directly relating to any of the above.
      Communicating Personal Information to Third Parties. Where permitted by the provisions of applicable law, USANA may provide your personal information to the following third parties:
    • Employees, directors, and managers of USANA and its local and foreign associated/affiliated companies
    • Any agent, contractor, supplier, vendor, or other third party who provides administrative, advertising, printing, or other services to USANA or its affiliated companies, including but not limited to distribution centers, external auditors, medical practitioners, trustees, insurance companies, actuaries, and any consultant/agent appointed by USANA or its affiliated companies to plan, provide, and/or administer Distributor benefits
    • Persons or organizations seeking references, and
    • Any government agency or other appropriate governmental, police, or regulatory authority in the Philippines or elsewhere such as but not limited to the Bureau of Internal Revenue.
    Access to Personal Information. Under the Guidelines for the Protection of Personal Data in Information & Communications System in the Private Sector (DTI Administrative Order No. 08, July 26, 2006), you have the right to request and obtain from USANA the personal information USANA has on file about you and correct, supplement or destroy any data that are inaccurate, incomplete, outdated, or no longer necessary for the purposes for which they were collected (unless an exception applies). You may also request USANA to inform you of the type of personal information maintained by USANA. Requests for access to and correction of personal data or information about USANA's policies and practices regarding personal data should be addressed in writing to USANA Customer Service.
  12. I agree to indemnify and hold USANA harmless from and against any and all losses, demands, claims, suits, expenses, including without limitation attorneys' fees, and liabilities for incidental, special, direct, exemplary and/or punitive damages, whether foreseeable or not, that might result from USANA's failure to perform or delay in performing any services relating to the pre-enrollment process.
  13. The terms and conditions of this pre-enrollment program shall be governed by the laws of the State of Utah, U.S.A.
